Terms of Use for Payllet

1. Acceptance of Terms

By downloading, accessing, or using the Payllet application ("Application" or "Service"), you ("User" or "You") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please discontinue use of the Application immediately.

2. Description of Services

Payllet is a non-custodial software interface that facilitates interaction with blockchain networks, specifically designed to work with stablecoins such as USDT, USDC, DAI, and others. Payllet does not collect, store, or process any personal data or financial information. All private keys, passkeys, and other secrets are stored exclusively on your device; Payllet has no access to or control over them.

3. Non-Custodial Services

  • No Custody of Funds: Payllet does not custody, control, or manage your digital assets or cryptocurrencies. All transactions are conducted directly on the blockchain network through your device.
  • No Recovery Services: Payllet cannot assist in recovering lost or stolen passkeys, private keys, or digital assets. You are solely responsible for safeguarding your credentials.

4. User Responsibilities

  • Security: You are responsible for maintaining the security and integrity of your device and any passkeys, private keys, or other authentication credentials. Any unauthorized access or transactions resulting from your failure to secure your device or credentials are your responsibility.
  • Compliance with Laws: You agree to comply with all applicable local, national, and international laws and regulations, including those related to anti-money laundering (AML) and combating the financing of terrorism (CFT).
  • Prohibited Activities: You shall not use the Application for any unlawful activities, including but not limited to fraud, money laundering, or financing of illegal organizations. You must not attempt to interfere with or disrupt the Application or associated networks.

5. License Grant and Restrictions

License: Payllet grants you a personal, non-transferable, non-exclusive, revocable, limited license to download and use the Application solely for personal purposes, strictly in accordance with these Terms.

Restrictions:

  • Copy, reproduce, distribute, or create derivative works of the Application.
  • Reverse engineer, decompile, or disassemble any part of the Application.
  • Remove or alter any proprietary notices or labels on the Application.
  • Use the Application for any commercial purposes without prior written consent from Payllet.

6. Assumption of Risk

Volatility and Risks: You acknowledge that digital assets and blockchain technologies are volatile and carry inherent risks, including but not limited to market fluctuations, technological malfunctions, regulatory changes, and cybersecurity threats.

Understanding of Technology: You affirm that you have a sufficient understanding of blockchain technology and digital assets to use the Application and are aware of the associated risks.

7. No Advice or Fiduciary Relationship

No Financial Advice: Payllet does not provide investment, legal, or tax advice. Any information provided within the Application is for general informational purposes only and should not be construed as professional advice.

Independent Decision-Making: You are solely responsible for your investment decisions and should consult with professional advisors as necessary.

8. Limitation of Liability

  • No Control Over Blockchain Transactions: Payllet acts solely as an interface to the blockchain. We have no control over blockchain networks and cannot ensure the proper execution of blockchain-based transactions.
  • No Liability for Losses: To the maximum extent permitted by law, Payllet shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of funds, loss of data, or loss of profits.
  • Force Majeure: Payllet shall not be liable for any delays or failures in performance resulting from events beyond our reasonable control, including network failures, hardware malfunctions, or acts of government.

9. Indemnification

You agree to indemnify, defend, and hold harmless Payllet, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

  • Your use of the Application
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right.

10. Changes to the Terms

Payllet reserves the right to modify or replace these Terms at any time. Changes will become effective upon posting the updated Terms within the Application or on our website. We will notify you of significant changes via a prominent notice within the Application or by other reasonable means. Your continued use of the Application after such changes constitutes your acceptance of the new Terms.

11. Termination

  • User Termination: You may terminate these Terms by discontinuing use of the Application and deleting it from your device.
  • Company Termination: Payllet reserves the right to suspend or terminate your access to the Application at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or third parties.
  • Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms will cease immediately.

12. Intellectual Property Rights

All intellectual property rights in the Application, including but not limited to software code, design, trademarks, and logos, are owned by Payllet or its licensors. These rights are protected by law. You may not use, copy, or distribute any part of the Application without prior written consent from Payllet.

13. Privacy

  • No Data Collection: Payllet does not collect, store, or process any personal data or personally identifiable information (PII). We do not perform Know Your Customer (KYC) procedures.
  • No Unsolicited Contact: Payllet will never contact you requesting personal information or access to your passkeys or private keys. Any such communications should be considered fraudulent.

User Vigilance: You are responsible for verifying the authenticity of any communications purportedly from Payllet and should report any suspicious activity to us at [email protected].

  • External Links: The Application may contain links to third-party websites or services that are not owned or controlled by Payllet.
  • No Endorsement: Inclusion of any third-party links does not imply endorsement by Payllet.
  • User Responsibility: You acknowledge and agree that Payllet is not responsible for the availability, accuracy, or content of such third-party services. Use of third-party services is at your own risk.

15. Regulatory Compliance

  • No Guarantee of Compliance: Payllet makes no representations or warranties that your use of the Application complies with any or all local laws and regulations.
  • User Responsibility: You are solely responsible for ensuring that your use of the Application is in compliance with all applicable laws and regulations in your jurisdiction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

17. Dispute Resolution

  • Amicable Resolution: Any disputes arising out of or relating to these Terms or the Application shall first be attempted to be resolved amicably by contacting Payllet at [email protected].
  • Jurisdiction: If a dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts located in the United Kingdom.

18. No Waiver

Failure by Payllet to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and Payllet regarding your use of the Application and supersede all prior agreements and understandings.

21. Language

These Terms may be provided in multiple languages. In the event of any discrepancies, the English version shall prevail.

  • No Control Over Digital Assets: Payllet does not issue, endorse, or have control over any of the digital assets or stablecoins accessible through the Application.
  • Issuer Responsibility: Any inquiries or legal actions related to specific digital assets or transactions should be directed to the respective issuers or authorities.

24. Risks Associated with Digital Assets

  • Regulatory Risks: The legal status of certain digital assets may be uncertain. You are responsible for knowing and understanding how digital assets are regulated and taxed in your jurisdiction.
  • Technological Risks: Blockchain technologies are subject to malfunctions, bugs, and forks, which can lead to partial or complete loss of funds.

  • No Warranty of Error-Free Operation: While Payllet strives to provide a secure and reliable Application, we do not guarantee that the Application is free from bugs or vulnerabilities.

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

  • No Warranty: Payllet provides the Application "AS IS" and "AS AVAILABLE" without any warranties, express or implied.
  • No Liability for Tax Obligations: You are solely responsible for determining what, if any, taxes apply to your digital asset transactions.

32. User Acknowledgments

  • Awareness of Risks: By using the Application, you acknowledge that you understand the risks associated with digital assets and blockchain technology.
  • No Reliance: You agree that you are not relying on any representations or warranties made by Payllet beyond those expressly stated in these Terms.
